La forme juridique de l’entreprise : un choix stratégique

 

Transmettre une entreprise familiale à l’un de ses employés, sans mettre en péril son identité ni sa pérennité, tout en limitant les risques pour le repreneur; c’est le défi qu’a eu à relever Florent Lambert, ancien propriétaire de Lambert Traitements et Isolations.

 

Dirigeant de l’entreprise familiale fondée par son père en 1976, Florent Lambert souhaitait réorienter sa vie professionnelle afin de pouvoir consacrer plus de temps à sa vie personnelle lorsque son gérant salarié, Hervé Roche, s’est porté acquéreur de la société.

 

Spécialisée en traitements du bois et isolation des combles, la SARL de 10 personnes localisée à Feurs rayonne alors sur l’ensemble du département et réalise un C.A. de 1,4 M€; avec près de 50 ans d’expérience, du personnel local et un suivi d’intervention différentiateur, l’entreprise bénéficie de la totale confiance de ses clients.

 

Déterminé à maximiser les chances de succès de cette transmission d’entreprise, dans le respect des intérêts des deux parties, Florent Lambert s’est adressé à Axens, cabinet qui accompagnait l’entreprise depuis sa création dans sa gestion comptable, juridique et fiscale.

 

L’organisation de la vente de l’entreprise à Hervé Roche devait répondre à trois attentes majeures :

 

• La mise en place d’un accompagnement du repreneur par le vendeur pendant une période déterminée pour assurer la transmission de la direction et des clients, et par là même la pérennité des activités.
• Minimiser les risques pris par le salarié repreneur.
• Optimiser fiscalement la cession de l’entreprise.

La forme juridique de l’entreprise est déterminante et doit répondre aux attentes professionnelles mais aussi personnelles du dirigeant.

 

La modification du statut juridique de l’entreprise, passé de SARL à SASU (Société par actions simplifiée à associé unique), a permis à Florent Lambert d’accompagner son repreneur pendant 6 mois après la cession effective de la société et à Hervé Roche de conserver un statut salarié, tout en minimisant le poids fiscal de cette opération.

 

Du point de vue de Florent Lambert, l’accompagnement d’Axens dans la conduite du projet de cession a permis une approche globale de la situation, tenant compte de son entreprise comme de sa situation patrimoniale personnelle, grâce à l’intervention d’experts de différents domaines, mais en conservant un seul interlocuteur qui connaissait bien l’entreprise, gérait la circulation des informations et avec qui il avait une relation de confiance. Cette démarche s’est avérée extrêmement facilitatrice et a conduit à une transmission réussie de la société.

 

Florent Lambert dirige aujourd’hui sa propre société de conseil qui, en plus d’avoir développé une clientèle locale, entretient des relations de prestataire partenaire avec Lambert Traitements et Isolations. L’objectif d’équilibre de vies personnelle et professionnelle est atteint et Hervé Roche poursuit le développement de sa société en pleine sérénité.

The legal form of a company: a strategic choice

 

Transmitting a family business to one of its employees without jeopardising its future or its identity, whilst limiting the risks for the buyer: that is the challenge that faced Florent Lambert, former owner of Lambert Traitements et Isolation.

 

As head of the family firm founded by his father in 1976, Florent Lambert wanted to take his professional life in another direction, so that he could devote more time to his personal life, when his salaried manager, Hervé Roche, agreed to buy out the company.

 

Specialised in treating timber and insulating roofspaces, the 10-strong private limited company (SARL) based in Feurs covered the entire Department at the time and had a turnover of €1.4m. With over 50 years’ experience, locally based staff and a reputation for closely monitoring its jobs that set it apart from the competition, the company enjoyed the total confidence of its customers.

 

Determined to maximise the buyout’s chances of success, whilst serving the interests of both parties, Florent Lambert turned to Axens, the firm that had accompanied the company since it was created taking care of its accounts and legal and tax affairs.

 

The organisation of the company’s sale to Hervé Roche had to meet three main expectations:

 

• The organisation of a period of support for the buyer by the seller, to smooth the transfer of the management and the customers, and at the same guarantee the continuity of the business.
• Minimise the risks taken by the employee-buyer.
• Optimise the sale of the company from a tax point of view.

With its excellent knowledge of Lambert Traitements et Isolation, its history and its owner, the multidisciplinary team at Axens had at its disposal all the information it needed to put together a transfer plan that would meet the expectations and requirements of both parties and take into account the accounting, legal, tax and wealth management dimensions of the operation.

The choice of the company’s legal form is crucial and a change must meet the professional, but also the personal expectations of the owner.

 

The modification of the company’s legal form – it went from being a private limited company (SARL) to becoming a simplified joint stock company with sole shareholder (SASU)  – enabled Florent Lambert to accompany his buyer for 6 months after the actual sale of the company and Hervé Roche to remain as a salaried employee, whilst minimising the tax effects of the transaction.

 

From Florent Lambert’s point of view, the support provided by Axens in conducting the transfer project allowed for an overall approach to the situation, taking account of his company as well as the situation regarding his personal assets, thanks to the involvement of experts in different fields, but also by retaining a single interlocutor who knew the company well, was able to manage the circulation of information and whom he trusted.  This approach proved effective, considerably facilitating the transaction and ensuring a successful transfer of the company.

 

Today Florent Lambert runs his own consultancy, which as well as having developed a local clientele, has a provider-partner relationship with Lambert Traitements et Isolation. The goal of a better work-life balance has been met, and Hervé Roche is continuing to develop his business, with total peace of mind.
